Effective Date: Date of publication
1. General Provisions
1.1. These Terms and Conditions (“Terms”) govern the use of VELU.ge (the “Platform”), user registration, paid memberships, product purchases, participation in special offers, delivery, returns, and the relationship between users and the Company.
1.2. The Platform is operated by LLC Digimart, identification number 406551574 (the “Company” or “VELU”).
1.3. The Platform operates as a membership-based e-commerce service. Visitors may browse products and view published prices without purchasing a membership. However, an active paid membership is required to purchase products, except where the Company expressly provides otherwise.
1.4. The Company is the seller of products offered through the Platform, whether products are held in its own inventory or obtained from partner suppliers. The Company remains responsible for its statutory obligations to consumers.
1.5. By registering an account, purchasing a membership, or placing an order, the user confirms that they have reviewed and accepted these Terms before completing the relevant action.
1.6. Nothing in these Terms restricts any mandatory consumer rights established under Georgian law. In the event of a conflict, mandatory legal provisions shall prevail.
1.7. Definitions:
- User: A person who accesses or uses the Platform.
- Member: A user with an active paid membership.
- Membership Period: A period of 30 calendar days beginning upon membership activation.
- Flash Deal: A limited-time offer under which a product's price may decrease through a predefined pricing mechanism.
- Special Promotion: A limited offer announced in advance, which may require prior registration of interest in participating.
- Reservation: A temporary allocation of a product under the applicable conditions.
2. Registration and User Accounts
2.1. Registration on the Platform is free of charge.
2.2. The primary method of registration and authentication is a mobile phone number verified using a one-time SMS password (OTP).
2.3. Only a mobile phone number may be required during initial registration. Additional information, including the recipient's name, surname, and delivery address, may be requested when placing an order or using other services.
2.4. Users must provide accurate and up-to-date information and protect their accounts against unauthorized access.
2.5. Minors may use the Platform and enter into relevant transactions only with the necessary consent of a parent or legal representative and in accordance with Georgian law.
2.6. The Company may, to the extent permitted by law, request verification of parental or legal representative consent, user information, or authority to act, particularly where there is a legitimate need to verify consent or account activity.
2.7. Where required by law, the Company shall take reasonable and appropriate measures to verify the existence of the necessary consent. Services may be restricted where legally required consent cannot be verified.
2.8. Account-related incidents and activities shall be assessed based on the actual circumstances, applicable security requirements, and the user's statutory rights.
3. Membership Purchase and Activation
3.1. As a general rule, products on VELU.ge may be purchased only by users with an active paid membership.
3.2. The standard membership lasts 30 calendar days.
3.3. The standard membership price may be GEL 9.90, while promotional membership may be offered for GEL 4.90 or another clearly disclosed amount. The price binding upon the user is the final price shown before payment.
3.4. The Company may change membership prices for future purchases or renewals, introduce promotional discounts, or offer alternative membership plans. Such changes shall not increase the price of a period already paid for.
3.5. Membership is activated after the payment service provider confirms successful payment.
3.6. An active membership grants access to product purchasing and member-only promotions in accordance with the published conditions.
3.7. Membership does not guarantee the availability or purchase of any particular product, the successful use of a particular discount, or access to limited inventory.
3.8. Before purchasing a membership, users shall receive clear information about the price, duration, renewal options, withdrawal rights, and commencement of service.
3.9. Annual or other membership plans may be introduced in the future. Their conditions shall be disclosed before purchase and shall not apply until the relevant plan is officially offered.
4. Membership Renewal
4.1. When purchasing a membership, the user may select manual or automatic renewal.
4.2. Automatic renewal applies only where the user expressly selects that option and provides the required payment authorization.
4.3. With manual renewal, the membership will not renew automatically, and no recurring payment will be collected.
4.4. Where automatic renewal is enabled, payment for the next period may be collected through the authorized payment method according to conditions communicated in advance.
4.5. The Company may determine the advance notice period for renewal reminders sent by SMS. The applicable reminder arrangements must be accessible to the user before or when automatic renewal is selected.
4.6. If a renewal payment fails, the system may retry payment in accordance with previously disclosed conditions. If payment remains unsuccessful, membership expires and member-only purchasing privileges are restricted.
4.7. Users may disable automatic renewal through their profiles. Their existing membership continues until the end of the paid period, and no subsequent automatic renewal charge will be made.
4.8. Any increase in the renewal price must be communicated clearly in advance. Where renewed consent or payment authorization is legally required, renewal shall not proceed without it.
4.9. The Company may preserve an existing membership price for selected users where legally permissible and consistent with the relevant offer.
5. Membership Cancellation and Refunds
5.1. Users may request cancellation and choose between:
a) Immediate termination of membership; or
b) Disabling renewal while retaining access until the paid period expires.
5.2. Immediate termination does not automatically entitle the user to a full refund in every situation. Refund entitlement is determined by Georgian law, the services actually provided, and the circumstances of the contract.
5.3. Unless a statutory exception applies, consumers generally have the right to withdraw from a distance contract for membership services within 14 calendar days.
5.4. Where a user expressly requests immediate commencement of membership services during the withdrawal period, the Company shall obtain any request or consent required by law and provide the relevant statutory information.
5.5. If the consumer lawfully withdraws after services have begun at their request, payment for the portion of services already supplied shall be determined in accordance with applicable law, rather than an arbitrarily imposed non-refundable charge.
5.6. Mandatory statutory refund and withdrawal rights cannot be excluded.
5.7. Refunds shall be processed within the legally required period and generally through the original payment method, unless another arrangement is permitted by law.
5.8. Membership cancellation does not automatically terminate rights or obligations arising from product purchase contracts already concluded.
6. Member Rights and Purchase Limits
6.1. During each active 30-day membership period, a member may successfully purchase no more than one unit of the same specific product, unless a particular offer lawfully and expressly provides otherwise.
6.2. This limit applies to regular catalog purchases, Flash Deals, and special promotions.
6.3. The purpose of the limit is to promote fair access to limited inventory and prevent one user from acquiring disproportionate stock.
6.4. An unsuccessful payment, an expired or canceled reservation, or adding an item to the cart does not count as a successful purchase.
6.5. Purchase limits reset when a new 30-day membership period begins.
6.6. The limit may be restored following an order cancellation or return confirmed by the administrator, subject to the circumstances.
6.7. Users must not intentionally circumvent purchase limits, security controls, or promotion rules through multiple accounts or technical means.
7. Product Catalog and Availability
7.1. Products and prices are publicly visible, but purchases generally require an active membership.
7.2. Products may display the following statuses:
- In Stock: Available for ordering.
- Out of Stock: Temporarily unavailable for purchase.
- Variable Availability: Availability is being updated, and purchasing is temporarily restricted.
7.3. Availability may change due to orders, supplier updates, reservations, or physical inventory changes.
7.4. Relevant product prices, specifications, included accessories, and other essential information shall be made available before an order is finally confirmed.
7.5. If payment has been received but the ordered product cannot be supplied, the Company shall offer a full refund or, with the customer's express agreement, an alternative product.
7.6. Customers are not required to accept a substitute product.
7.7. The Company shall not unilaterally change essential terms of an already concluded purchase contract without the customer's consent, except where permitted by law.
8. Orders and Reservations
8.1. Users place orders by selecting products, adding them to the cart, providing the necessary details, and choosing an available payment method.
8.2. Before final confirmation, the total product price, delivery fee, mandatory additional charges, and overall payable amount shall be displayed.
8.3. A product added to the cart or selected for purchase may be subject to a temporary reservation.
8.4. Reservation duration is set by the administrator and displayed at the time of reservation.
8.5. The administrator may modify the standard reservation duration for future reservations. Such changes shall not shorten the validity of an already confirmed reservation, except in legally justified circumstances or with the customer's consent.
8.6. A temporary reservation may be released automatically when it expires, an order is canceled, or payment fails.
8.7. A reservation does not itself mean that all obligations under a sale contract have been fulfilled. Relevant order and payment statuses shall be shown on the Platform.
8.8. The Company shall maintain appropriate inventory controls to prevent conflicting confirmed reservations or payments for the same limited stock.
9. Prices and Payment Methods
9.1. Product and membership prices are displayed in Georgian lari (GEL) and include applicable taxes unless the law requires otherwise.
9.2. Online payments are processed through the relevant Bank of Georgia payment service.
9.3. Bank transfers may be available for regular product orders where this option is offered.
9.4. Bank-transfer payments must be confirmed within 24 hours of placing the order, unless another lawful condition is displayed at checkout. Unconfirmed reservations may expire after this period.
9.5. Memberships, Flash Deals, and products included in advance-announced special promotions are payable online unless the particular offer lawfully states otherwise.
9.6. Payment is treated as successfully confirmed once the payment provider verifies the transaction.
9.7. Users shall not be charged additional mandatory amounts that were not properly disclosed before placing the order.
10. Flash Deals
10.1. Flash Deals are limited-time member offers under which product prices may decrease progressively.
10.2. The Company determines the starting price, minimum price threshold, duration, price-update intervals, available quantity, and other parameters.
10.3. Price reductions may be uneven. Users are not guaranteed that a price will reach any particular level before the product sells out.
10.4. Future reduction amounts need not be disclosed in advance, provided that the displayed current price and material offer conditions are accurate and not misleading.
10.5. When a user initiates a purchase, the displayed price may be locked for the reservation period shown at that moment.
10.6. Once the reservation expires or payment fails, the applicable price and availability may change.
10.7. The one-unit-per-specific-product limit applies to Flash Deals within each 30-day membership period.
10.8. Users may make repeated purchase attempts while inventory remains available and their purchase limit has not been exhausted.
10.9. A Flash Deal may end when the product sells out, the specified period expires, or another previously disclosed condition occurs.
10.10. Where automatic restarting is enabled, a new promotional cycle may begin. A new cycle does not imply that the product necessarily sold during the previous cycle.
10.11. Any displayed number of viewers, participants, purchases, or other demand indicators represented as factual information must be based on genuine, verifiable data.
11. Advance-Announced Special Promotions
11.1. The Company may offer limited quantities of products at special prices on announced dates and times.
11.2. Participation in a particular promotion may require users to register their interest in participating by clicking the “I Want to Participate” button or through another advance registration method.
11.3. At launch, registering interest in participating is free of charge for active members.
11.4. Different promotional formats, including paid participation services, may be introduced in the future only under separately disclosed terms and in accordance with applicable law.
11.5. Introducing a paid format shall not automatically impose additional payment obligations on existing users without their express agreement.
11.6. Registering interest in participating grants the opportunity to attempt a purchase; it does not guarantee receipt or purchase of the product.
11.7. Product quantities are limited. Successful purchase depends on availability, compliance with participation conditions, and completion of the order.
11.8. Users may cancel their registered interest in participating at any time before the promotion begins.
11.9. A user who registers their interest in participating while their membership is active may retain their registration after membership expires, but must have an active membership to purchase the product.
11.10. The Company may cancel incorrect, duplicate, fraudulent, or noncompliant participation registrations on lawful and objectively justified grounds.
11.11. Administrative changes and cancellations of participation registrations must be recorded. Displayed counts of registered participants and remaining registration availability, when presented as factual information, must reflect reliable records.
11.12. A promotion may be announced again with new inventory and conditions after the original stock is exhausted.
11.13. Where demand exceeds available quantity, the criteria for determining purchase priority must be disclosed in advance, transparent, and applied equally.
12. Delivery
12.1. Product delivery is available within Georgia.
12.2. The usual estimated delivery period is 3–7 business days, unless a different period is specified on the product page, in the order confirmation, or by agreement.
12.3. Actual delivery timing depends on product availability, destination, courier arrangements, and other objective circumstances.
12.4. Delivery fees may differ between Tbilisi and other regions of Georgia and shall be disclosed before final order confirmation.
12.5. The Company may use its own couriers or third-party delivery providers.
12.6. If delivery cannot be completed within the agreed period, the Company shall notify the customer and act in accordance with applicable Georgian law.
12.7. The risk of accidental loss or damage transfers to the customer at the point established by law.
12.8. Customers must provide accurate and sufficient contact and delivery information.
13. Withdrawal from Product Purchases and Returns
13.1. Unless a statutory exception applies, consumers have the right to withdraw from a distance contract for goods, without providing a reason, within 14 calendar days after receiving the product.
13.2. Consumers may communicate their withdrawal through a clear statement sent to info@velu.ge or another available channel provided by the Company.
13.3. Consumers may inspect goods to establish their nature, characteristics, and functioning to the extent necessary. Liability for any reduction in value shall be determined by law.
13.4. Returned goods must be sent back within the period and in the manner required by law.
13.5. The direct cost of returning goods following an ordinary withdrawal may be borne by the consumer only where permitted by law and where the consumer was properly informed of this obligation beforehand.
13.6. Costs arising from defective goods or a breach by the Company are governed by the relevant statutory consumer rights.
13.7. Refunds shall be made within the legally required period. Where legally permitted, the Company may withhold reimbursement until the goods are returned or evidence of their return is provided.
13.8. Statutory exceptions to withdrawal rights apply only where the particular goods or services genuinely satisfy the relevant legal criteria.
13.9. Nothing in this section limits statutory remedies for defective goods.
14. Defective Products and Warranty Service
14.1. Products supplied must conform to the contract and applicable legal requirements.
14.2. In the event of nonconformity, consumers have statutory remedies, including, where applicable, free repair or replacement, a price reduction, or termination of the contract.
14.3. Repairs or replacements shall be carried out under the conditions prescribed by law and without significant inconvenience to the consumer.
14.4. Any commercial warranty offered by a manufacturer or supplier does not limit the consumer's statutory rights.
14.5. Warranty requests may be submitted to info@velu.ge.
14.6. The Company may not require the consumer to deal exclusively with a supplier as a substitute for the Company's own legal obligations as seller.
15. Promotions, Discount Codes, and Referrals
15.1. The Company may offer promotional codes, discounts, bonus membership days, referral programs, and other benefits.
15.2. Offers may be subject to specified validity periods, objective eligibility criteria, quantity limits, and separate conditions.
15.3. Under a referral program, additional membership days may be awarded when a referred person successfully purchases their first paid membership and satisfies the published program rules.
15.4. Fraudulently obtained benefits or benefits obtained by intentionally circumventing the applicable conditions may be rejected or canceled on justified grounds.
15.5. Promotional benefits do not affect mandatory statutory consumer rights.
15.6. Advertising and promotions must clearly disclose material conditions and must not create misleading impressions about product availability or actual benefits.
16. Account Restrictions and Closure
16.1. Users may request account closure or deletion of personal data in accordance with Georgian law.
16.2. Upon receiving a closure request, the Company may promptly restrict access while retaining only data that has a valid legal basis for continued processing.
16.3. Pending orders, warranty obligations, accounting requirements, and potential legal claims may require certain records to be retained.
16.4. Closing an account does not extinguish existing lawful rights or obligations.
16.5. The Company may restrict an account in cases involving fraud, unauthorized access, genuine security threats, or material violations of these Terms.
16.6. Restrictions must be justified and proportionate. Where applicable, users shall be able to request an explanation or challenge the decision.
17. Technical Operation of the Platform
17.1. The Company shall take reasonable steps to maintain the security and reliable operation of the Platform.
17.2. Temporary interruptions may occur due to maintenance, technical upgrades, or third-party service failures.
17.3. Features may be temporarily restricted where necessary for maintenance, security, or legal compliance.
17.4. Technical records or transaction errors may be corrected where legally permitted and with due regard for rights already acquired by customers.
17.5. The Company does not exclude liability where such exclusion would be prohibited by law.
17.6. Pricing or inventory errors shall be addressed under the applicable contract and Georgian law. Confirmed orders cannot be canceled arbitrarily at the Company's sole discretion.
18. Changes to These Terms
18.1. The Company may update these Terms to reflect changes in legislation, services, or technical procedures.
18.2. Updated Terms shall be published on the Platform with the relevant effective date.
18.3. Material changes affecting an active paid membership, automatic renewal, or essential consumer rights shall be communicated in advance as required by law.
18.4. New Terms shall not automatically alter existing contractual obligations in violation of mandatory consumer protections.
18.5. Where new consent is legally required, the Company shall obtain it before applying the relevant change.
19. Dispute Resolution, Governing Law, and Contact Information
